INTRODUCTION AND DEFINITIONS

Welcome to Yellowbrick Financial. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Yellowbrick Financial (“Company,” “we,” “us,” or “our”) governing your use of the Yellowbrick Financial mobile application and all related services (collectively, the “Services”).

For purposes of these Terms:

  • “App” means the Yellowbrick Financial mobile application
  • “Content” means any text, graphics, images, music, software, audio, video, information or other materials appearing within the App
  • “User Content” means content that users submit or transmit to, through, or in connection with the App

By downloading, installing, or using our App, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our App.

LICENSE TO USE

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App for your personal, non-commercial use on compatible devices that you own or control. This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time.

You may not rent, lease, lend, sell, redistribute, or sublicense the App. You may not copy, decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the App, any updates, or any part thereof (except as permitted by applicable law or us in writing).

ACCEPTABLE USES

You agree to use the App only for purposes that are legal, proper, and in accordance with these Terms and any applicable laws or regulations. You may not:

  • Use the App in any manner that could disable, overburden, damage, or impair the App or interfere with any other party’s use of the App
  • Use any robot, spider, or other automatic device, process, or means to access the App for any purpose
  • Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the App
  • Use the App to store or transmit harmful code
  • Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
  • Engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the App

TERMINATION

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the App will immediately cease. If you wish to terminate your account, you may simply discontinue using the App or delete your account within the App settings.

INTELLECTUAL PROPERTY

The App and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Yellowbrick Financial and its licensors. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Yellowbrick Financial.

USER-GENERATED CONTENT

Our App may allow you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material. You are responsible for the User Content that you post to the App, including its legality, reliability, and appropriateness.

By posting User Content to the App, you grant us the right and license to use, modify, perform, display, reproduce, and distribute such content on and through the App. You retain any and all of your rights to any User Content you submit, post, or display on or through the App and you are responsible for protecting those rights.

You represent and warrant that: (i) the User Content is yours or you have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the posting of your User Content on or through the App does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

PAYMENTS

If the App offers products or services for purchase, you agree to pay all fees or charges to your account based on our payment terms then in effect. You agree to provide current, complete, and accurate purchase and account information.

If auto-renewal is enabled for the services you have subscribed for, you will be charged automatically in accordance with the term you selected. Subscription fees are non-refundable except as expressly set forth in these Terms.

We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

PRIVACY POLICY

Please refer to our Privacy Policy [link to Privacy Policy] for information on how we collect, use, and disclose information from our users. By using the App, you agree to our collection, use, and disclosure of information as described in our Privacy Policy.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YELLOWBRICK FINANCIAL, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE APP.

YELLOWBRICK FINANCIAL’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE APP IS LIMITED TO THE AMOUNT PAID BY YOU TO YELLOWBRICK FINANCIAL FOR THE APP WITHIN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

DISCLAIMERS

THE APP IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YELLOWBRICK FINANCIAL EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YELLOWBRICK FINANCIAL MAKES NO WARRANTY THAT (I) THE APP WILL MEET YOUR REQUIREMENTS, (II) THE APP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE APP WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE APP WILL MEET YOUR EXPECTATIONS.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in California and you hereby consent to personal jurisdiction and venue therein.

CHANGES TO TERMS

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on the App and updating the “Last Updated” date at the top of these Terms.

Your continued use of the App after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new terms, please stop using the App.
